1. Scope
These terms apply to all contracts between Softinger Labs [legal form], Koloniestr. 81, 13359 Berlin, Germany (“we”) and our customers for web development, app development, digital marketing and related IT services.
2. Formation of contract
The packages shown in our shop are a binding offer once you complete your order with the button “Order with obligation to pay”. We confirm receipt by email. Custom projects are formed when you accept our written quote.
3. Services and cooperation
The scope follows from the package description or the quote. After your order we contact you within one business day to agree scope and schedule. You provide content, access and approvals on time. Delays on your side move the dates accordingly.
4. Prices and payment
Prices for consumers are final prices in euros including statutory VAT. For business customers, prices are net of VAT unless stated otherwise. Payment is made with the methods offered at checkout. Third-party costs such as domains, hosting, plugins, store fees and advertising budgets are not included unless expressly stated.
5. Usage rights
On full payment you receive the agreed usage rights to the results made for you. Rights to our tools, libraries and pre-existing materials remain with us; we grant you a simple right to use them for the purpose of the contract. We may name completed projects as references unless you object.
6. Acceptance
Work results are accepted by you. Acceptance is deemed given if, after completion and a request from us, you do not report material defects within 14 days or you put the result into productive use.
7. Warranty
Statutory warranty rights apply. We do not guarantee particular business results such as rankings, reach or revenue.
8. Liability
We are liable without limit for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For slightly negligent breach of essential contractual duties, liability is limited to the foreseeable damage typical for the contract. Otherwise liability for slight negligence is excluded. Statutory rights of consumers remain unaffected.
9. Care plans
Care plans run monthly and can be cancelled at the end of the current billing period by email to contact@softingerlabs.com.
10. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this applies only where it does not remove mandatory consumer protection of their country of residence. If the customer is a merchant, the place of jurisdiction is Berlin.
